1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Genoma AI ("Company," "we," "us," or "our"), governing your access to and use of the website genomai.ai, its subdomains (including genomai.ai/Ads), and all related services, features, and applications (collectively, the "Platform").
By creating an account, accessing, or using the Platform, you agree to be bound by these Terms and our Privacy Policy. If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.
If you do not agree to these Terms, do not access or use the Platform.
2. Description of Service
Genoma AI is a content intelligence platform that provides AI-powered tools for social media content strategy, image generation, and multi-network content planning. The Platform offers:
- Content Strategy Generation: AI-driven analysis and recommendations for social media content across multiple networks, powered by a two-layer recommendation system.
- Social Media Integration: Connection to social media accounts (Meta/Facebook, Instagram, LinkedIn, X/Twitter) via OAuth 2.0 authentication, and TikTok via public URL/username input.
- AI Image Generation: Creation of images using artificial intelligence models (Google Gemini API) based on text prompts provided by the User.
- Credit System: A consumable credit system for AI image generation, available through subscription plans and one-time credit pack purchases.
- Analytics and Insights: Performance metrics, audience analysis, and content optimization recommendations based on connected network data.
3. Eligibility
To use the Platform, you must be at least eighteen (18) years of age or the age of legal majority in your jurisdiction, whichever is greater. The Platform is not intended for use by children under thirteen (13) years of age.
4. Account Registration and Security
4.1 Account Creation
To access the Platform's features, you must create an account by providing accurate, current, and complete information. You agree to update your account information promptly if it changes.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at [email protected] if you become aware of unauthorized use.
4.3 One Account Per User
Each User may maintain only one active account. We reserve the right to suspend or terminate duplicate accounts.
4.4 Account Sharing
Account credentials may not be shared with or used by any person other than the registered account holder, except as expressly permitted under a Business plan that includes team access features.
5. Subscription Plans and Pricing

Current pricing, feature details, and credit allocations are displayed on the Platform's pricing page. We reserve the right to modify pricing with thirty (30) days' advance notice to active subscribers.
5.2 Billing and Payment
All paid subscriptions are billed monthly in advance through Stripe. By subscribing, you authorize us to charge your designated payment method on a recurring monthly basis until you cancel. Payment processing is handled entirely by Stripe, Inc. We do not store your full credit card number or banking information.
5.3 Credit Packs (One-Time Purchases)

Credit pack purchases are one-time transactions processed through Stripe Checkout. Purchased credits are non-transferable between accounts and do not expire.
5.4 Credit Usage
Each AI image generation request consumes one (1) credit. Monthly subscription credits reset at the beginning of each billing cycle and do not roll over. Purchased credit pack credits do not expire and are consumed only after monthly subscription credits are depleted.
5.5 Taxes
All prices are exclusive of applicable taxes unless otherwise stated. You are responsible for all applicable taxes in connection with your use of the Platform.
6. Free Tier
The Free Tier provides a single-use experience of the Platform's core features. After the initial use, continued access requires upgrading to a paid subscription. The Free Tier does not require payment information and creates no financial obligation.
7. Cancellation and Refunds
7.1 Subscription Cancellation
You may cancel your subscription at any time through your account settings or by contacting [email protected]. Your subscription remains active until the end of the current billing period.
7.2 Refund Policy
Subscription fees are non-refundable, except where required by applicable law. If you cancel within the first seven (7) days of your initial paid subscription and have not consumed more than ten percent (10%) of your monthly credits, you may request a full refund at [email protected].
7.3 Credit Pack Refunds
Credit pack purchases are non-refundable once the transaction is completed, except where required by applicable law.
7.4 Downgrade
You may downgrade from Business to Pro at any time. The downgrade takes effect at the start of the next billing cycle. Unused monthly credits do not transfer upon downgrade.
8. Social Media Integrations
8.1 OAuth Connections
The Platform allows you to connect social media accounts through OAuth 2.0 authentication with Meta (Facebook and Instagram), LinkedIn, and X (formerly Twitter). By connecting your accounts, you authorize us to access the data and permissions you approve during the authorization process.
8.2 Platform Compliance
Our use of social media APIs is subject to the terms of each platform, including Meta Platform Terms, LinkedIn API Terms of Use, and X Developer Agreement.
8.3 TikTok Data
TikTok data is collected exclusively from publicly available sources based on a username or URL you provide. No private or authenticated data is accessed.
8.4 Disconnection
You may disconnect any social media integration at any time through your account settings. Upon disconnection, we cease collecting new data and delete previously imported data per our Privacy Policy.
8.5 Third-Party Changes
Social media platforms may change their APIs or terms at any time. We are not responsible for disruptions caused by third-party changes but will make reasonable efforts to adapt promptly.
9. AI Image Generation
9.1 Service Description
The Platform provides AI image generation using the Google Gemini API. Users submit text prompts, and the AI generates images based on those prompts.
9.2 Credit Consumption
Each image generation request consumes one (1) credit. Failed generations due to content policy violations or technical errors on our end will not be charged.
9.3 Content Policies
AI image generation is subject to Google's Prohibited Use Policy and content safety policies. Prompts violating these policies will be rejected. Repeated violations may result in account suspension. You agree not to generate content that is illegal, harmful, defamatory, obscene, or that violates the rights of any third party.
9.4 Ownership of Generated Images
Subject to these Terms, you retain rights to use images generated through the Platform for your personal and commercial purposes, including publication on social media networks. However, AI-generated images may not be eligible for copyright protection under current United States Copyright Office guidance.
9.5 No Guarantee of Output
AI image generation is probabilistic. We do not guarantee that generated images will meet specific expectations, be free of artifacts, or be suitable for any particular purpose.
9.6 Platform-Optimized Formats
Images are generated in aspect ratios optimized for specific platforms: 1:1 (Instagram feed), 9:16 (Stories/Reels/TikTok), 16:9 (YouTube/LinkedIn). Format selection is automated based on the target platform.
10. User Content and Conduct
10.1 User Content
"User Content" means all content you submit, upload, or input into the Platform. You retain ownership of your User Content.
10.2 License Grant
By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, store, and display your content solely for providing and improving Platform services. This license terminates when you delete your content or account.
10.3 Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful purpose or in violation of applicable laws.
- Submit content that infringes intellectual property rights of any third party.
- Reverse engineer, decompile, or disassemble the Platform.
- Use automated scripts, bots, or scraping tools to access the Platform.
- Interfere with the Platform's infrastructure, security, or other users' access.
- Create multiple free accounts to circumvent usage limitations.
- Resell, redistribute, or sublicense Platform access without written consent.
- Use AI image generation to create deepfakes, misleading content, or content designed to deceive.
- Exploit the credit system through fraudulent means.
- Generate spam, unsolicited communications, or content violating social media platform terms.
11. Intellectual Property
11.1 Platform Ownership
The Platform, including its software, design, algorithms, user interface, documentation, and trademarks, is owned by Genoma AI and protected by applicable intellectual property laws.
11.2 Trademarks
"Genoma AI," the Genoma AI logo, and related marks are trademarks of the Company. You may not use our trademarks without prior written consent.
11.3 Feedback
If you provide feedback, suggestions, or ideas about the Platform, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use and incorporate such feedback without obligation.
12. Third-Party Services
The Platform integrates with third-party services including Google (Gemini API), Meta, LinkedIn, X, TikTok, and Stripe. Your use of features involving these services is additionally subject to their respective terms. We are not responsible for the availability or practices of third-party services.
13. Disclaimers
The Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory. To the fullest extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not guarantee that the Platform will produce any specific business results, increase your social media following, improve engagement, or generate revenue. Content strategy recommendations and AI-generated images are tools to assist your decision-making and are not substitutes for professional marketing advice.
AI-generated content may contain errors, inaccuracies, or biases inherent to the underlying models. You are solely responsible for reviewing all AI-generated content before publication or use.
14. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Genoma AI, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.
Our total aggregate liability for all claims shall not exceed the greater of (a) the amounts you have paid to us in the twelve (12) months preceding the claim, or (b) one hundred dollars ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.
15. Indemnification
You agree to indemnify, defend, and hold harmless Genoma AI and its affiliates from all claims, liabilities, damages, losses, costs, and expenses arising from: your use of the Platform or violation of these Terms; your User Content; your violation of any applicable law; your use of AI-generated content on third-party platforms; or unauthorized use of your account due to failure to maintain security.
16. Dispute Resolution
16.1 Governing Law
These Terms shall be governed by the laws of the State of Delaware, United States, without regard to conflict of laws provisions.
16.2 Informal Resolution
Before initiating formal dispute resolution, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days.
16.3 Arbitration
Disputes that cannot be resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted in English with the seat in the State of Delaware.
16.4 Class Action Waiver
You and Genoma AI agree that each may bring claims against the other only in individual capacity, and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding.
16.5 Exceptions
Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent infringement or misappropriation of intellectual property rights.
17. Termination
17.1 Termination by You
You may terminate your account at any time through account settings or by contacting [email protected]. Access to paid features continues until the end of your billing period.
17.2 Termination by Us
We may suspend or terminate your account at any time, with or without cause, upon notice. Grounds include violation of these Terms, fraudulent activity, non-payment, or harmful conduct.
17.3 Effect of Termination
Upon termination, your right to use the Platform ceases. Account data is deleted per our Privacy Policy. Unused purchased credit pack credits are forfeited and not eligible for refund, except where required by law.
17.4 Survival
Sections 10.2, 11, 13, 14, 15, 16, and 17.4 survive termination of these Terms.
18. Modifications to Terms
We may modify these Terms at any time. Material changes will be notified at least thirty (30) days before taking effect. Continued use after the effective date constitutes acceptance. If you disagree, stop using the Platform and cancel your account before changes take effect.
19. Modifications to the Platform
We reserve the right to modify, update, or discontinue any feature at any time, with or without notice. We will make reasonable efforts to notify Users of material changes affecting paid features.
20. General Provisions
Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Genoma AI regarding the Platform.
Severability: If any provision is held invalid or unenforceable, the remaining provisions continue in full force.
Waiver: Failure to enforce any right or provision shall not constitute a waiver.
Assignment: You may not assign these Terms without our written consent. We may assign without restriction.
Force Majeure: We shall not be liable for failures due to causes beyond our reasonable control, including natural disasters, pandemics, war, power failures, internet disruptions, or third-party service outages.
